PURPOSE AND SCOPE

The purpose of this document is to outline and describe the scopes of SELLER and BUYER under the different delivery terms to be used in the PROJECT, as well as the responsibilities and exonerations for both PARTIES.

This document aims also to establish the terms and conditions applicable to the delivery of the SUPPLY as per the INCOTERMS agreed in the PURCHASE ORDER.

This document includes thorough explanations about the INCOTERMS accepted by BUYER, which are limited to FCA / FAS and DDP.

Nevertheless, in exceptional cases, BUYER could accept exclusively the use of the following INCOTERMS: FOB / CIF / CFR / DAP.

In lack of any or correct INCOTERMS indicated in the ORDER, BUYER shall have the right to select the INCOTERMS to be in force in the ORDER, at its own convenience, in accordance with the provisions of this document.

DEFINITIONS AND ACRONYMS

Capitalized words and expressions in the wording correspond with definitions. All definitions and acronyms used in this document are defined in the Annex A to the PURCHASE CONDITIONS and shall be applicable to this document accordingly.

DELIVERY TERMS AGREED OUTSIDE THE COUNTRY

In order to use the correct INCOTERM, it is necessary to identify if the materials or equipment are containerized or not. This difference establishes the use of the INCOTERMS:

a) Containerized Material

FCA Port Container Yard

FCA SELLER´s Workshop

b) Non-Containerized

FAS including hooking 1st Class Port

Material

BUYER will apply FCA Port Container Yard or FAS including hooking 1st Class Port as INCOTERM to any SELLER´s offer or any PURCHASE ORDER that only shows respectively “FCA” or “FAS” as required INCOTERM without any other specification.

In those cases where, according to tax rules applicable to the country of delivery or transit, internal taxes may be applicable or rebates, refunds and in general claims to tax relief are refused, to inland transportation and / or related services, it is advisable to procure in FOB port of loading conditions so as to avoid liability or commercial impact (e.g. India).

If the dimensions allow it, container loading shall always be the first option.

When FCA SELLER’s Workshop is specified in the ORDER, CARGO has to be loaded by SELLER or its sub-suppliers onto transport means provided by BUYER. The absence of loading capacity in SELLER´S workshop shall not release SELLER of the fulfilment of this requirement.

In the event that SELLER requires any other type of containers, a prior agreement between the PARTIES must be in place.

No shipment shall be made until SELLER receives the RELEASE NOTE for shipping from BUYER regardless of the INCOTERMS agreed upon.

Any extra cost arising due to any inconsistency on the information provided by SELLER on the SHIPPING DOCUMENTS will be under SELLER’s responsibility.

3.1 FCA PORT CONTAINER YARD

This INCOTERM will be applied for materials and equipment containerized and manufactured outside the COUNTRY.

SELLER´s scope includes the delivery of the goods at the Port Container Yard designated by BUYER at the named place of delivery.

FCA Port Container Yard implies that SELLER bears all risk of loss or damage to the goods until they have been delivered at the designated point by BUYER.

3.1.1 SELLER´S SCOPE – FCA PORT CONTAINER YARD

The following activities and documentation are under SELLER’s scope for FCA Port Container Yard:

Packing & marking

 The packing and marking of the goods shall withstand any type of transportation and handling

of them, following the approved Packaging, Marking and Shipping Instructions.

Export customs clearance

 To carry out the export customs clearance including all documents, permits or payments and

any activity that might be necessary to accomplish the export process.



If the goods cannot be included in the nominated ship due to a lack of the export procedures, the generated logistics extra-costs (port occupation, storage, dead freight, etc.) will be borne by SELLER.

Documents for import procedure at destination place

 To provide the documentation required to carry out the import procedures in the destination country (Export Invoice, Certificate of Origin, EUR.1 or ATR, etc.) in a maximum period of five (5) days from ATD for maritime shipments or three (3) days before ATD for airfreight.

Allocation of costs

 To pay all costs relating to the goods until they have been delivered in the named place, including VGM effective from July 1st, 2016 (loaded and stowed into the means of transportation provided by BUYER).

 The empty container collection from Depot (on or close to agreed port), loading, stowage and lashing of the materials into the container and transportation of loaded container up to CY at agreed port.

 To provide BUYER with photographs of the CARGO secured inside the containers. The lack of providing these photographs shall cause the loss of SELLER´s right to counterclaim any BUYER´s claim related to loss or damage of the SUPPLY during the transportation to its final destination.

 To use the type of containers of BUYER´s choice.

 To send to BUYER the list of packages per container following the provisions of Packaging,

Marking and Shipping Instructions.



If due to export customs clearance formalities not having been fully fulfilled by SELLER after receiving the FCR from BUYER, any storage or demurrage charges shall arise, they will have to be borne by SELLER.

Proof of delivery

 The FCR issued by BUYER´s 3PL and requested by SELLER will be considered as proof of

delivery.

3.1.2 BUYER´S SCOPE – FCA PORT CONTAINER YARD

The following activities and documentation are under BUYER’s scope for FCA Port Container Yard:

Contract of carriage

 To book at its own expense for vessel.

 To nominate the vessel BUYER considers appropriate.



In no case, a complete set of B/L will be delivered to SELLER, and the text of B/L shall not include any detail or paragraph requested by SELLER.

Container shipment

 To specify the type of container to be used. 20´ DV and 40´ DV to be used by default.

 The unloading and other port charges (THC, T3 ISPS) of the container at the container

terminal at destination port.

 To indicate SELLER the number of containers required based on the final MPL provided by SELLER. SELLER will be requested to provide also an estimation based on their know-how. In case of any discrepancies between the BUYER´s estimation and the number of containers finally used, any extra cost arising from them will be back charged to SELLER.

3.1.3 EXCEPTION TO FCA PORT CONTAINER YARD

BUYER shall have the right to request loading on truck instead of loading inside a container. Consequently, SELLER shall be exempted from the responsibility of loading the container; however, SELLER shall be responsible of loading the truck at its workshop.

The rest of SELLER´s applicable obligations established in the ORDER remain without any extra cost for BUYER.

In this case, the delivery place will be BUYER´s 3PL Warehouse near to named port.

3.2 FCA SELLER WORKSHOP

This INCOTERM will be applicable for materials and equipment containerized and manufactured outside the COUNTRY.

SELLER´s scope includes the delivery of the goods loaded and stowed in a container or on a truck at SELLER´s workshop (means of transportation to be selected by BUYER).

This INCOTERM implies that SELLER bears all risk of loss or damage to the goods until they have been loaded either into the container or on the truck.

If the delivery place is a FREE ZONE, this INCOTERM shall include the payment of all the duties related to the movements of the goods inside and outside of the FREE ZONE. Thus, the INCOTERM would become FCA Workshop Duty Paid.

3.2.1 SELLER´S SCOPE – FCA SELLER WORKSHOP

The following activities and documentation are under SELLER’s scope for FCA SELLER Workshop:

Packing & marking

 The packing and marking of the goods shall withstand any type of transportation and handling

of them, following the approved Packaging, Marking and Shipping Instructions.

Export customs clearance

 To carry out the export customs clearance including all documents, permits or payments and

any activity that might be necessary to accomplish the export process.

Conventional shipment

 The loading, stowage and lashing of the materials into the trucks.

 To pay all costs relating to the goods until they have been loaded in the truck or trucks.

 Loading Time shall not exceed two (2) hours per truck except otherwise agreed between the PARTIES. Any additional detention cost exceeding the agreed loading time will be borne by SELLER.

 To provide BUYER with photographs of the CARGO secured in the truck. The lack of providing these photographs shall cause the loss of SELLER´s right to counterclaim any BUYER´s claim related to loss or damage of the SUPPLY during the transportation to its final destination.



This INCOTERM will be applicable for materials and equipment’s non-containerized and manufactured outside the COUNTRY.

SELLER´s scope includes the delivery of the goods hooked and placed alongside the vessel nominated by BUYER at port of loading agreed in the PURCHASE ORDER, bearing in mind that the quay will be designated by BUYER.

This INCOTERM implies that the risk of loss or damage to the goods passes from SELLER to BUYER when the goods are hooked and placed alongside the vessel. BUYER bears all costs from that moment onwards.

In case finally freight is done in RO-RO service, costs of loading and lashing onto MAFIS is on SELLER’s scope of work.

3.3.1 SELLER´S SCOPE – FAS INCLUDING HOOKING 1ST CLASS PORT

The following activities and documentation are under SELLER’s scope for FAS including hooking 1st class port:

Packing & marking

 The packing and marking of the goods shall withstand any type of transportation and handling

of them, following the approved Packaging, Marking and Shipping Instructions.

 To provide BUYER with photographs of the CARGO. The lack of providing these photographs shall cause the loss of SELLER´s right to counterclaim any BUYER´s claim related to loss or damage of the SUPPLY during the transportation to its final destination.

Export customs clearance

 To carry out the export customs clearance including all documents, permits or payments and

any activity that might be necessary to accomplish the export process.



If the goods cannot be included in the nominated ship due to a lack of the export procedures, the generated logistics extra-costs (port occupation, storage, dead freight, etc.) will be borne by SELLER.

Documents for import procedure at destination place

 To provide the documentation required to carry out the import procedures in the destination country (Export Invoice, Certificate of Origin, EUR.1 or ATR, etc.) in a maximum period of five (5) days from ATD for maritime shipments or three (3) days before ATD for airfreight.

Allocations of costs

 To pay all costs relating to the goods until they have been hooked alongside the ship and all

the activities of the stevedores until the CARGO has been hooked.

 To pay any extra cost in case any detention from the vessel arises due to lack of CARGO at

the quay.

 To load and lash the CARGO into the containers or onto MAFIS, if CARGO is finally shipped

either into containers or RO-RO.

 To pay any extra cost, if FAS delivery is done from a barge instead of a quay and this is not

indicated previously by SELLER in the PURCHASE ORDER.

 The CARGO shall be brought alongside for loading as fast as the vessel can receive, including, if required by BUYER, outside ordinary working hours notwithstanding any custom of the port, in BUYER´s option during day, night, Saturdays, Sundays (or their local equivalents) and holidays included.

 The CARGO shall be brought alongside the vessel by SELLER at its risk and expense, within reach of the vessel´s gear unless otherwise stipulated by BUYER and in the sequence and manner required by BUYER.

Proof of delivery

 The FCR issued by BUYER´s 3PL and requested by SELLER will be considered as proof of

delivery.

3.3.2 BUYER´S SCOPE – FAS INCLUDING HOOKING 1ST CLASS PORT

The following activities and documentation are under BUYER’s scope for FAS including hooking 1st class port:

 To book at its own expense for vessel.

 To nominate the vessel BUYER considers appropriate. In no case, a complete set of B/ L will be delivered to SELLER, and the text of B/L shall not include any detail or paragraph requested by SELLER.

4

DELIVERY TERMS AGREED INSIDE THE COUNTRY

In order to use the correct INCOTERM, it is necessary to identify if BUYER is responsible of the transport from the SELLER´s Workshop to the SITE. This difference establishes the use of the INCOTERMS:

 BUYER responsibility - FCA SELLER Workshop

 SELLER responsibility - DDP SITE

In cases where the place of delivery according to the stated commercial terms in PO is in the COUNTRY, goods shall be customs released to free circulation in such COUNTRY or customs territory. Otherwise SELLER is to bear all duties, taxes, formalities and -in general- all expenses, delays and responsibilities necessary.

No goods shall be delivered at Customs bonded warehouses, FREE ZONES or any other areas having an equivalent effect by SELLER unless previously communicated in writing and expressly accepted by BUYER.

4.1 FCA SELLER WORKSHOP

This INCOTERM will be applicable for materials and equipment manufactured in the COUNTRY and when BUYER is responsible of the transport from SELLER Workshop.

SELLER´s scope includes the delivery of the goods loaded and stowed in a truck at its workshop (means of transportation to be selected by BUYER).

This INCOTERM implies that SELLER bears all risk of loss or damage to the goods until they have been loaded on the truck.

If the delivery place is a FREE ZONE, this INCOTERM shall include the payment of all the duties related to the movements of the goods inside and outside of the FREE ZONE. Thus, the INCOTERM would become FCA Workshop Duty Paid.

4.1.1 SELLER´S SCOPE – FCA SELLER WORKSHOP

The following activities and documentation are under SELLER’s scope for FCA SELLER Workshop:

Packing & marking

 The packing and marking of the goods shall withstand any type of transportation and handling

of them, following the approved Packaging, Marking and Shipping Instructions.

 To provide a stackable and suitable packing for lift truck.

Allocation of costs

 To pay all costs relating to the goods until they have been delivered in the named place

(loaded and stowed into the means of transportation provided by BUYER).

Conventional loading

 The loading, stowage and lashing of the materials into the trucks.

 To pay all costs relating to the goods until they have been loaded in the truck or trucks.

 Loading Time shall not exceed two (2) hours per truck except otherwise agreed between the PARTIES. Any additional detention cost exceeding the agreed loading time will be borne by SELLER.

 To provide BUYER with photographs of the CARGO secured on the truck. The lack of providing these photographs shall cause the loss of SELLER´s right to counterclaim any BUYER´s claim related to loss or damage of the SUPPLY during the transportation to its final destination.

Proof of delivery

 The FCR issued by BUYER´s 3PL and requested by SELLER will be considered as proof of

delivery.

4.1.2 BUYER´S SCOPE – FCA SELLER WORKSHOP

The following activities and documentation are under BUYER’s scope for FCA SELLER Workshop:

Contract of carriage

 To contract at its own expense for the carriage of the goods from the delivery place.

 To specify the type of truck to be used by default.

4.2 DDP SITE

This INCOTERM will be applicable for materials and equipment manufactured in the COUNTRY and when SELLER is responsible for the transport.

SELLER´s scope includes the delivery of the goods ready for unloading at SITE.

This INCOTERM implies that SELLER bears all risk of loss or damage to the goods until they have been delivered at SITE.

4.2.1 SELLER´S SCOPE – DDP SITE

The following activities and documentation are under SELLER’s scope for DDP SITE:

Packing & marking

 The packing and marking of the goods shall withstand any type of transportation and handling

of them, following the approved Packaging, Marking and Shipping Instructions.

 To provide a stackable and suitable packing for lift truck.

Allocation of costs

 To pay all costs relating to the goods until they have been delivered in the named place (SITE).

Conventional loading

 The loading, stowage and lashing of the materials into the trucks.

 To provide BUYER with photographs of the CARGO secured in the truck.

Other obligations

 To comply with the HSE requirements for delivery of equipment and materials at SITE.

4.2.2 BUYER´S SCOPE – DDP SITE

The following activities and documentation are under SELLER’s scope for DDP SITE:

 To perform the activities of unloading of the CARGO at SITE.

LAND TRANSPORTATION FROM OUTSIDE THE COUNTRY

5.1 FCA SELLER WORKSHOP

This INCOTERM will be applicable for materials and equipment manufactured outside the COUNTRY, and when transportation will be done by road.

SELLER´s scope includes the delivery of the goods loaded and stowed in a truck at SELLER´s workshop (means of transportation to be selected by BUYER).

This INCOTERM implies that SELLER bears all risk of loss or damage to the goods until they have been loaded in the truck.

If the delivery place is a FREE ZONE, this INCOTERM shall include the payment of all the duties related to the movements of the goods inside and outside of the FREE ZONE. Thus, the INCOTERM would become FCA Workshop Duty Paid.

5.1.1 SELLER´S SCOPE – FCA SELLER WORKSHOP

The following activities and documentation are under SELLER’s scope for FCA SELLER Workshop:

 The packing and marking of the goods shall withstand land transportation, following the

approved Packaging, Marking and Shipping Instructions.

Export customs clearance

 To carry out the export customs clearance including all documents, permits or payments and

any activity that might be necessary to accomplish the export process.

 To complete export customs clearance process in a maximum period of one (1) day if the CARGO is loaded in truck. Any extra cost generated due to a lack of the export procedures, will be borne by SELLER.

Documents for import procedure at destination place

 To provide the documentation required to carry out the import procedures in the COUNTRY (Export Invoice, Certificate of Origin, EUR.1 or ATR, etc.) in a maximum period of three (3) days before ATD.

Allocation of costs

 To pay all costs relating to the goods until they have been delivered in the named place

(loaded and stowed into the means of transportation provided by BUYER).

Road shipment

 The loading, stowage and lashing of the materials into the trucks.

 To pay all costs relating to the goods until they have been loaded in the truck or trucks.

 Loading Time shall not exceed two (2) hours per truck except otherwise agreed between the PARTIES. Any additional detention cost exceeding the agreed loading time will be borne by SELLER.

 To provide BUYER with photographs of the CARGO secured in the truck. The lack of providing these photographs shall cause the loss of SELLER´s right to counterclaim any BUYER´s claim related to loss or damage of the SUPPLY during the transportation to its final destination.
