1 PREAMBLE

These Terms and Conditions for Technical Services at Site will apply to the SERVICES to be performed by SELLER at SITE where the Facility for which the SUPPLY is intended for is to be located (i.e. in construction, commissioning, start-up activities). This requirement for site assistance SERVICES may be included specifically in the ORDER or may be subject to a separate purchase order (hereinafter referred to as “TSS ORDER”). The performance of these SERVICES at SITE by SELLER shall be governed by the terms and conditions of the ORDER and the particular provisions contained herein.

For the SERVICES at SITE to be rendered by SELLER under ORDER or the TSS ORDER, as the case may be, these Terms and Conditions for Technical Services at Site shall take precedence over, but not serve to annul any of the terms included in the PURCHASE CONDITIONS of the primary ORDER. The following order of precedence shall apply in case of discrepancies between documents:

a) Purchase Order for Technical Services at Site (TSS ORDER), Annexes and Supplements.

b) Annex G of the Purchase Conditions: Terms & Conditions for Technical Services at Site.

c) Purchase Order for Supply of Equipment / Material (PURCHASE ORDER), its annexes and

supplements.

d) Amendment to the PURCHASE CONDITIONS

e) PURCHASE CONDITIONS.

f) Annexes of the Purchase Conditions.

2 DEFINITIONS AND ACRONYMS

All definitions and acronyms used in this document are defined in the Annex A of the PURCHASE CONDITIONS and shall be applicable to this document accordingly.

3 PURPOSE

The purpose of these Terms and Conditions for Technical Services at Site is to establish the terms and conditions that shall govern the provision of the Technical Services at Site (SERVICES) to be furnished, performed, and carried out by the SELLER.

This document defines the conditions applicable for SELLER´S PERSONNEL in relation with the supervision of erection and/or repairs and/or pre-commissioning and/or commissioning and/or start-up operations and/or site training in connection with the equipment/material defined in ORDER and/or the TSS ORDER, as the case may be. It shall equally apply to additional services to be carried out beyond start-up of the main equipment, if required by BUYER.

4 SELLER´S OBLIGATIONS AND RESPONSIBILITIES

4.1 Provision of SERVICES and/or performance of works:

SELLER undertakes to provide services and/or to perform work in accordance with the provisions of the ORDER, if applicable the TSS ORDER and with the applicable laws and regulations.

SELLER shall provide the services and/or perform work in a diligent, professional, and careful manner in compliance with the good practices of reputable and leading companies in the field.

SELLER shall observe the applicable procedures, conditions, and specifications in accordance with the nature of services and/or work.

4.2 Labour, Social Security and Taxation of SELLER´s personnel

SELLER must comply with however any provisions in force that at all times apply to them related to Labour, Social Security or Taxation of its SELLER´s personnel.

SELLER shall be responsible of all the salaries, wages, contributions, benefits and non-salary benefits of its SELLER´s personnel, including the expatriate premium and/or bonus if applicable, all taxes and income tax, fiscal compensation, social benefits, social insurance contributions, individual and professional insurances, etc.

SELLER shall be responsible of SELLER´s personnel´s public holidays paid and days off, if any. The public holidays for SELLER´s personnel are those of the SITE country where the SERVICES will be performed.

4.3 SELLER´s personnel´s documentation

SELLER shall be responsible for all the necessary medical examination, vaccinations and tests of its SELLER´s personnel in order to travel to SITE country where the SERVICES will be performed. Any delay in the provision of the SERVICES at SITE because of this, will be considered SELLER´s default and subject to Liquidated Damages for delay according to the provisions contained in this document.

SELLER shall be responsible for all the necessary visa requirements, stamps and other permits that its SELLER´s personnel may need, in order to travel to country SITE where the SERVICES will be performed. Any delay in the provision of the services and/or performance of work at Site because of this, will be considered SELLER´s default and subject to Liquidated Damages for delay according with the provisions contained in this document.

BUYER will take, if required, the necessary steps and actions towards the Local Authorities to enable the SELLER personnel to obtain the required temporary/permanent Visas, Residence and/or Work Permits.

4.4 Compliance with laws and regulations

SELLER must comply with all the financial and/or administrative laws, decrees, regulations and other normative in the SITE country where the SERVICES will be performed and shall assume all the consequences incurred. SELLER shall be the solely responsible for the full compliance with the work SITE country normative body applicable to the SERVICES awarded to SELLER.

SELLER must comply with all applicable laws, regulations, and norms for the provision of services and/or performance of work at SITE where the SERVICES will be performed and shall make comply such laws and regulations with any of its SELLER PROVIDERS.

SELLER must comply with however many provisions are in force at all times that apply to them, especially those related to the Safety, Health, Environment and Security (SHES), Occupational Health and Safety (OHS) and Work Risk Prevention and shall be compelled to accredit their compliance in the form and within the deadlines established by BUYER. In addition, in relation to the activities carried out by SELLER at BUYER/OWNER workplaces and facilities, SELLER shall comply with BUYER/OWNER internal practices and regulations, particularly the prohibition of alcohol and drug consumption.

4.5 Receipt of documentation

SELLER must examine and check for defects, discrepancies and errors in any documentation, specifications or plans provided by BUYER. SELLER must confirm its knowledge of the soil´s

characteristics and of the climatic and hydrological conditions of the SITE where the SERVICES will be performed, thereby assuming responsibility for these factors.

SELLER shall promptly notify the BUYER in writing, of any contractual information not received in time from BUYER and necessary for the correct development of the work. This notification is mandatory for the SELLER. In case of failure to comply with this requirement, SELLER shall be liable for any delay in the SERVICES.

4.6 Tools and materials

SELLER will provide, at its own expense, the tools and any special materials necessary for the proper provision of SERVICES and/or performance of work contracted, without prejudice to the occasional provision of equipment and materials owned by BUYER when necessary to ensure the proper provision of the SERVICES and/or performance of work, though this ownership shall have no effect whatsoever on the obligations assumed.

SELLER is responsible to deliver to SITE where the SERVICES will be performed the tools and any special materials necessary for the proper provision of SERVICES and/or performance of work contracted, in order to make them available before the arrival of the SELLER´S personnel at SITE where the SERVICES will be performed and in time to enable an immediate start to work activities.

If the material cannot be sent with accompanied luggage, the SELLER shall take all necessary actions in order to send the materials in advance, and have it cleared on a temporary import basis so that it is available for the SELLER´S personnel upon his arrival on SITE where the SERVICES will be performed.

If the contract specifies temporary material importation by the BUYER, the SELLER shall send all information, with a minimum of thirty (30) days advance notice, to enable BUYER/OWNER to prepare all required customs documents on behalf of the SELLER.

SELLER shall bear the costs of delivering and export/import the SELLER´S personnel´s tools and materials from SELLER´s Head Office to SITE where the SERVICES will be performed and return.

4.7 Maintenance and storage of tools and materials

The maintenance, storage, handling and transport of all equipment and material used in the provision of SERVICES, along with any related expenses, is responsibility of the SELLER, including any equipment or material provided by BUYER for the execution of the SERVICES until they are returned to BUYER and assuming, if applicable, the liability for any loss or damage caused to them.

4.8 Submittal of documentation

SELLER shall submit all documentation as required by BUYER in the ORDER or TSS ORDER, as the case may be, in the specified period, manner and quantity, as well as any other information or document of any kind that is necessary according to the current regulations applicable to the provision of services and/or performance of work. Documentation must be previously signed by SELLER to demonstrate acceptance.

4.9 Information obligation

During the provision of services and/or performance of work, it will be the responsibility of the SELLER to request additional information needed from BUYER, inform BUYER of the difficulties encountered in the provision and/or performance of the work, and take the actions necessary to fulfil its contractual obligations on its own terms.

4.10 Guarantee

SELLER gives BUYER a guarantee that given the nature of the SERVICES to be performed, all materials and goods used in the provision of services and/or performance of works

i) are suitable for the intended purpose

ii) comply with all applicable regulations, especially environmental and safety requirements

iii) have no restrictions on its use

SELLER guarantees that it has the intellectual or industrial rights required for the provision of services and/or performance of work or, where applicable, has the appropriate licences for it, and assumes any costs or expenses arising from them.

5 SELECTION OF SPECIALISTS

5.1 Qualifications for SELLER´S personnel categories

SELLER shall clearly indicate, the level of qualification of each of its SELLER´S personnel.

5.2 Knowledge of foreign languages

In addition to his professional qualifications and skills, the SELLER´S personnel must be fluent in writing and speaking in English, and as possible in Spanish.

5.3 Selection and BUYER´s approval of SELLER´S personnel.

SELLER shall submit to BUYER the complete career profile and work experience (CV) of its SELLER´S personnel, specifying their qualifications and skills in order to check and verify if the SELLER´S personnel´s category assigned by SELLER, meets with the required qualifications and skills of this document.

Following BUYER’s approval, no change shall be made in SELLER’s professional staff allocated to the work, without further written approval by BUYER.

BUYER has the right to reject, at any time, the assigned SELLER´S personnel by SELLER in case his qualification and/or skills does not meet with the requirements for his category. In that case, SELLER shall replace the SELLER´S personnel at no cost to the BUYER. Any delay in the SERVICES due to this replacement will be considered SELLER´s default and it will be subject to Liquidated Damages for delay as per related clause in this document.

The SELLER´S personnel shall normally be expected to be a full-time, permanent member of the SELLER’s organization and directly employed by SELLER. SELLER shall not assign SELLER´S personnel to perform the work who are not directly employed members of the SELLER’s organization without prior written approval by BUYER. Regardless of employment status with SELLER, each SELLER´S personnel supplied or assigned by SELLER shall be deemed to fully represent SELLER in all aspects under the TSS ORDER and subject to all of the duties and obligations therein.

6 COMMERCIAL CONDITIONS OF VENDOR SITE WORKING SERVICE

RATES

6.1 Validity of the Service Rates

The agreed rates shall remain fixed, firm and not subject to any escalation or to any adjustment or revision.

6.2 Scope of the Service Rates

SELLER shall be responsible for and shall provide at its sole cost and expense all the associated costs to render the SERVICES by their SELLER´S personnel, including:

 All the terms under the section “SELLER´s obligations and responsibilities” of this document.

 Overtime not requested by BUYER.

 All necessary living expenses incurred by reason of living away from home, such as, local living allowances, lodging or accommodation, meals, laundry, sundries, local transportation, local transportation from accommodation to Site, medical assistance, personal telephone calls, business telephone calls not approved in advance by BUYER, etc; unless provided by BUYER.

Local accommodation, meals and local transportation may be provided by BUYER at SITE where the SERVICES will be performed, so SELLER must indicate the discount to be applied to the rates in case these concepts are provided by BUYER.

6.3 Period of Technical Services

Payable days by BUYER shall be only the working days at SITE where the SERVICES will be performed, i.e., from the day of arrival on SITE where the SERVICES will be performed until the day of departure from SITE where the SERVICES will be performed. It applies for each working day of the SELLER´S personnel attendance at SITE, certified by the Time Sheets correctly filled in and signed by the BUYER´s Site Manager or BUYER´s authorized representative.

Leave periods, holidays or rest and recreation breaks for public holidays and days off, sickness or accident, personal reasons, or any non-justifiable reasons, will be borne by the SELLE

7 NOTICE TO PROCEED FOR TECHNICAL SERVICES

The date on which the SELLER´S personnel must be on SITE where the SERVICES will be performed will be given to SELLER in due time with twenty (20) calendar days advance notice as a minimum. Nevertheless, this date may be modified by BUYER due to last minute contingencies. The SELLER will be informed of the approximate duration of the SELLER´S personnel´s assignment prior to each mobilization.

SELLER commits to mobilize to SITE where the SERVICES will be performed qualified, skilled and experienced SELLER´S personnel within twenty (20) calendar days after receipt of BUYER´s notice to proceed with SERVICES (installation, commissioning and/or start-up supervisory services and training) associated with the equipment and/or materials in SELLER´s scope of SUPPLY. Any delay in the SELLER´S personnel mobilization to SITE where the SERVICES will be performed may be subject to Liquidated Damages as per related clause in this document.

Notwithstanding the above, if required by BUYER, SELLER shall be able to provide maintenance or technical assistance on the SITE within 24 (twenty-four) hours of any requirement of the BUYER.

8 SELLER´S PERSONNEL´S DUTIES

The SELLER´S personnel is commissioned to supervise all operations required for equipment erection, commissioning, preparation for and/or start-up in accordance with the ORDER or the TSS ORDER and attached requisition, drawings and/or associated documents. Therefore, the SELLER and/or the specialist must either define and/or implement all necessary material, documentation or manpower resources.

Due to the nature of their assignment on SITE where the SERVICES will be performed, the SELLER´S personnel implicitly commits the full responsibility of the SELLER and its engagement with the quality of his instructions and of his verifications, in strict compliance with all of the terms and obligations of the ORDER or TSS ORDER.

Prior to departure to Site

The SELLER´S personnel, prior to his departure to SITE where the SERVICES will be performed, shall prepare his assignment within SELLER’s organization and in coordination with BUYER. Such preparation shall include:

 The study and analysis of the corresponding documents (ORDER and/orTSS ORDER,

requisition and drawings and/or associated documents), if necessary.

 The preparation of the detailed schedule of the assignment /attendance at SITE where the

SERVICES will be performed.

 The definition of the schedule and relevant resources (manpower, materials, tools, documentation, etc.) required for the performance of his duties. The planned delivery date to SITE where the SERVICES will be performed of the materials/tools required, shall be communicated to BUYER at least five (5) days before their scheduled arrival.

 The verification and/or updating and/or preparation of the erection, commissioning and/or start-

up instructions, as the case may be.

 The definition of the pertinent resources required from BUYER’s construction team (manpower by discipline, temporary material and testing devices, general tools, lifting equipment, scaffoldings, etc.) necessary for the performance of his duties. Such requirements will be

informed well in advance so that BUYER’s construction ream is able to plan properly the assistance to SELLER.

SELLER shall promptly notify the BUYER in writing, any contractual information not received in time from BUYER and necessary for the correct development of the work. This notification is mandatory for the SELLER. In case of failure to comply with this requirement, any delay in rendering the SERVICES will be SELLER´s fault and may be subject to Liquidates Damages according to the provisions contained in this document.

Duties On Site

Within the scope of his assignment, the SELLER´S personnel shall carry out the following tasks:

Upon arrival at SITE where the SERVICES will be performed, the SELLER shall make sure that the following is available on SITE:

 All up-to-date documents required.

 Special tools for erection and control as stated in the ORDER and/or TSS ORDER

 All equipment and materials to be erected as well as all resources (manpower, materials, tools, etc.) required for erection, commissioning and/or start-up optimization and for safe and timely performance,

 Spare Parts for erection, commissioning and/or start-up.

The SELLER´S personnel shall take particular care of the verification of instructions for erection, commissioning and/or start-up and improve and/or complete them, if necessary.

In liaison with the BUYER’s site manager or BUYER´s authorized representative, the SELLER´S personnel shall make sure that the schedule of his duties and the SITE schedule are compatible.

During his assignment on SITE, where the SERVICES will be performed the SELLER´S personnel shall report solely to the BUYER´s Site Manager or BUYER´s authorized representative.

While performing his duties, the SELLER´S personnel shall convey the required technical instructions to the erection, commissioning and/or start-up teams and shall ensure management of his assignment in order to ensure compliance with:

 Sound engineering practices,

 All Quality and HSE requirements and obligations appertaining to the SITE where the

SERVICES will be performed and the assignment

 Specifications, drawings (tolerance of assembly) and standards,



Instructions for erection, commissioning and/or start-up,

 Operations and Maintenance manuals both during construction and start-up phases.

8.1.1 The SELLER´S personnel shall personally perform, and be responsible for, any critical

operations within his specific qualification.

8.1.2

In case of anomaly, the SELLER´S personnel shall immediately, in writing, inform the BUYER’s Site Manager or BUYER´s authorized representatives in charge of the specific task and propose the corrective actions to be carried out.

The SELLER´S personnel shall ensure compliance with the schedule. In case of delay, and after analysis of the causes and/or reasons thereof, he shall propose adequate corrective actions in liaison with BUYER’s Site Manager or BUYER´s authorized representative.

As the official Representative of the SELLER, the SELLER´S personnel shall be capable of, and shall answer, any and all questions likely to be asked by BUYER’s Site Manager/Representative in connection with his scope of work and as specified in the ORDER and/or TSS ORDER.

The SELLER´S personnel shall sign the quality control documents submitted to him and certify the conformity of the erection, commissioning and/or start-up activities and results.

The SELLER´S personnel shall issue daily and weekly status/progress reports of activity, as required, to BUYER’s Site Manager or BUYER´s authorized representative.

After erection, commissioning and/or start-up, upon instruction of end of assignment by the Site Manager, and prior to his departure, the SELLER´S personnel shall:

 Make sure that the SELLER personnel have all the correct detailed instructions for start-up, maintenance, dismantling and assembling and improve and/or complete them, if necessary,

 Submit to BUYER’s Site Manager a summary report, with a work conformity statement which confirms that the terms and conditions of the SELLER’s guarantees and/or Warranty, as they apply to SELLER’s equipment and/or material, are in effect and unaffected by any incidents or events that have occurred during the assignment and the execution of the erection, commissioning and/or start-up scope of work.

In case of repairs on the SITE where the SERVICES will be performed, whether required to be carried during the current or any future visit, the SELLER´S personnel shall perform the following tasks in addition to the ones described here above:

 He shall estimate the type of repairs to be carried out,

 He shall define suitable methods procedures for repair of any defect with manufacturer´s

procedure,

 He shall define the resources (manpower, materials, tools, etc.) required for such repairs,

 He shall supervise the repairs,

 He shall, in agreement with the BUYER’s Site Manager, record that no impact is caused by the repairs upon the SELLER’s warranty commitments, or otherwise agree the impact with BUYER

 When the repairs are caused due to SELLER/ SELLER´S personnel error, omission or responsibility, SELLER´S personnel shall fully commit SELLER and therefore countersigns the purchase orders (for required materials and/or services) and the timesheets related to the personnel involved. The corresponding costs shall be at the SELLER´s expense according to the terms and conditions of the PURCHASE ORDER / TSS ORDER.

Time Sheets

 The SELLER´S personnel shall fill in and/or sign the Time Sheets as per BUYER´s formats (to

be provided) supporting his attendance.

 These forms shall be completed and issued to BUYER’s Site Manager weekly and at the end

of assignment.

 They will be countersigned by BUYER’s Site Manager or his appointed representative, who will

retain a copy.

 The original Time Sheets will be carefully controlled and protected by the SELLER´S personnel and will be systematically attached to the SELLER’s invoices for payment as defined in the TSS ORDER.

Additional works

Exceptionally, BUYER’s Site Manager, at BUYER’s expense and in agreement with the SELLER, may require the SELLER´S personnel to perform the supervision and/or the execution of work not included in his assignment, as far as such work falls within the scope of his technical skills and qualifications and related to the equipment supplied by the SELLER.

Prior to leave Site

The date of the assignment completion will be notified to the SELLER´S personnel by BUYER’s Site Manager.

SELLER´S personnel commits himself to return to BUYER, prior to his departure from SITE, the SITE badge and any access documentation related to the SITE where the SERVICES will be performed or related facilities, so that BUYER can cancel the access.

SELLER´S personnel commits himself to provide to BUYER, prior to his departure from SITE, copy of any documentation that BUYER may need in order to cancel the residence and/or work permits granted by the local authorities.

9 LIQUIDATED DAMAGES FOR DELAY IN SERVICE ORDERS

In the case of delay in SERVICES the Technical Services at Site, in accordance with the TSS ORDER, SELLER shall be obligated to pay to BUYER:

The maximum limit of exposure to Liquidated Damages for delay in SERVICES shall be fifteen percent (15%) of the aggregate amount to be paid to SELLER according to the ORDER or the TSS ORDER for the SERVICES. These Liquidated Damages shall be in addition to the applicable Liquidated Damages ORDER for the SUPPLY of the equipment/material, if any.

10 WARRANTY FOR DEFECTIVE WORK

All work carried out by the SELLER as part of, or in connection with the SERVICES, shall be to the BUYER´s satisfaction. If, within a period of one (1) year of the date of completion of the SERVICES, or within one (1) year of the termination of the SELLER’s obligations under the ORDER, whichever occurs later, any defect due to SELLER’s faulty or negligent workmanship, or errors or omissions in design or study is discovered, then SELLER shall, at its sole cost and expense, rectify, and hold BUYER harmless from and against such defects to BUYER’s reasonable satisfaction. Alternatively, at BUYER´s option, SELLER shall pay, and hold BUYER harmless from and against, the costs and expenses of having such defects rectified by others to BUYER’s satisfaction.

ANNEX G. 10651 - TERMS AND CONDITIONS FOR TECHNICAL SERVICES AT SITE

11 LIABILITY AND INSURANCE

Without prejudice of the insurance terms and conditions included in the PURCHASE CONDITIONS, SELLER shall, at its own expense, maintain in effect at all times during the performance of the SERVICES insurance coverage with limits not less than those set forth below and with insurers and under forms of policies satisfactory to BUYER:









Workers’ Compensation as required by any applicable law or regulation.

Employer’s Liability of not less than 500,000 USD each accident.

Commercial General Liability with limits of liability for bodily injury, property damage and personal injury of not less than:

500,000 USD Combined single limit for Bodily Injury and Property Damage each occurrence.

500,000 USD Personal Injury Limit each occurrence.

1,000,000 USD Products-Completed Operations Aggregate Limit; and

1,000,000 USD General Annual Aggregate Limit (other than Products- Completed Operations).

Automobile Liability (Owned, hired and non-owned) with combined single limits of liability for bodily injury or property damage of not less than 500,000 USD any one occurrence.

12 SITE WORKING CONDITIONS

 Standard daily work: Ten (10) hours per day.

 Standard weekly work: Six (6) days per week.

The above conditions may be modified by BUYER´s Site Manager or BUYER´s authorized representative, so SELLER shall work whatever hours are necessary to maintain the schedule and if necessary, shall work double shifts from the start from to complete the SERVICES on time.
