We, for and in consideration of our receipt of the sum of (spell out the amount) (currency xxx,xxx.xx) from PURCHASER, representing the final payment under the PURCHASE ORDER (PO No.. xxx) that became in full force and effective as of (Effective Date) including all supplements thereof, hereby release and forever discharge the PURCHASER GROUP and their successors and assigns from all liens, claims, demands, causes of action whatsoever in any manner which we may have for labor performed, for material or equipment furnished under the PURCHASE ORDER, or for, upon or by reason of any matter, cause or thing whatsoever arising from or related to the PURCHASE ORDER.

In consideration of, and for the purpose of inducing PURCHASER to make the aforesaid payment, we hereby warrant that we shall indemnify and hold harmless the PURCHASER GROUP and their successors and assigns from all loss, cost, damages, and expenses (including but not limited to attorney’s fees) by reason of any and all past, present, and future demands, liens, and claims of any nature in any manner which anyone may have for labor performed, for material or equipment furnished under the PURCHASE ORDER, or for, upon or by reason of any matter, cause or thing whatsoever arising from or related to the PURCHASE ORDER.

We understand that the submission of this letter by us shall not relieve us of our obligations under the PURCHASE ORDER, which by their nature survive completion of work including, without limitation, warranties, guarantees, and indemnities.
