INTRODUCTION

The ADNOC Ruwais LNG Project is a two train, near net-zero electrically driven LNG facility, targeting international markets. The feed gas for the project is supplied from the Habshan Gas Processing Plant via a new export gas pipeline. The plant will have two 4.8 MTPA (nominal capacity) electric driven LNG Trains with associated LNG storage/marine export facilities and utilities.

The ADNOC Ruwais LNG Project foresees the following main components at the facility:

 Onshore LNG Liquefaction facilities for 2 x 4.8 MTPA electrically driven LNG Trains (9.6MTPA

total)

 Common facilities including inlet receiving facilities, LNG storage, BOG handling, flare,

refrigerant storage and support buildings.

 Utilities to support the facilities including import power from the national grid.

 Marine facilities for LNG export and bunkering.

In the frame of the FEED Endorsement & EPC Early Engagement Proposal TECHNIP ENERGIES, JGC and NPCC are forming a Partnership with TECHNIP ENERGIES as leader.

The purpose of this document is to define the minimum requirements and instructions for shipping associated documentation activities of equipment and material for the project.

RESPONSIBILITY AND AUTHORITY

The following instructions are an integral part of the ORDER. SUPPLIER shall be held liable for any consequences arising from non-observance of these instructions, including, but not limited to, dead freight or demurrages or loss of goods.

GENERAL

This document shall be read in conjunction with PMS “Packing, Marking Instructions”.

The Documentation Package for Transport Services is an integral part of the SUPPLY and its omission shall be considered as no fulfillment of the ORDER.

The DPTS (codes TR - Transport) includes three (3) documents identified as:

 TR1001: Documentation Package for Transport Services ITB;  TR1002: Documentation Package for Transport Services Booking;  TR1003: Documentation Package for Transport Services Execution.

DPTS is the complete collection of all documents and any other certificate necessary to perform the transport activities for the goods provided as per the ORDER.

The DPTS shall be issued by the SUPPLIER for each itemized equipment and/or material ordered. Each documents MUST be provided within the following schedule:

 TR1001: 4 weeks after the effective date of the PURCHASE ORDER;  TR1002: 2 months before contractual delivery date (*);  TR1003: at the time of Instruction for Packing receipt.

TR1001 and other TR1002 / TR1003 are linked to the payment terms as per ORDER. (*) NOTE: For the SHLO cargo, the issuance of TR1002 is 3 months before contractual delivery date.

Each DPTS shall have a cover page with CONTRACTOR title block duly filled in by the SUPPLIER. A possible example is indicated here below (APPENDIX E).

The content of DPTS shall follow the instructions provided (paragraph 4)

The SUPPLIER shall submit to PURCHASER the required TR1001,TR1002 & TR1003 by use of SMat Portal to provide the sets of shipping documentation. TR1001 & TR1002 (option for submittal to be discussed with CONTRACTOR), TR1003 (Mandatory), including creation of packing list via this platform. User Manual to be provided by CONTRACTOR.”

All documents shall be issued in English (or any other language specified by the Project as specifically defined by the ORDER or in PARA 4). They shall be typed/printed (no hand-written documents will be accepted).

IMPORTANT NOTE In case of comments, even to one single document included in the documentation package, the SUPPLIER shall reissue and resubmit the whole involved documentation package, duly revised in the cover page, updating its revision number. Only documents received through Transport IT Tool or email upon CONTRACTOR approval, will be considered valid and official. Any documentation sent outside will be disregarded.

CONTENT OF SET OF SHIPPING DOCUMENTS

All transport packages exceeding any of the following limit of overall dimensions and gross weights, are classified as Heavy Lift and Oversized Equipment (HLO) or Super Heavy Lift and Oversized material (SHLO), differently as “General Cargo” materials:

  1. For HLO/SHLO equipment, the weight, length, width and height should be detailed in the PRELIMINARY packing list and FINAL packing list for each transport package.

  2. For General Cargo materials, the weight, length, width and height should be detailed only in the final Packing List, whereas in the PRELIMINARY Packing List, only the total gross weight and the total cubic meter should be indicated . For pipes, length & diameter to be specified in goods description .

  3. For hazardous / radioactive materials, the Safety Data Sheets (SDS) in 16 points shall be provided with the minimum following required information:

4.1

PRELIMINARY Packing List (Appendix A1)

PRELIMINARY packing list shall be prepared as per CONTRACTOR’s requirements and template The following minimum data shall be provided:

HLO – Heavy Lift or Oversize Equipment: Per each transport package:

 TAG/ITEM number;  Description of the content including its custom’s tariff code;  Net and gross weight;  Dimensions;

GC – General Cargo: Per each transport package:

 Description of the content including its custom’s tariff code;  Net and gross weight;  Dimensions;

Only for General Cargo material, in case on non-availability of above details per each package, SUPPLIER shall provide, in the preliminary Packing List, only the total gross weight and the total cubic meter. For Pipes & Structures , length & diameter to be specified in the description. CONTRACTOR shall require one preliminary Packing Lists for each batch of delivery of goods, as per associated combined delivery criteria (i.e. Point of departure, final destination etc.). Preliminary Packing list must be issued in English Language.

HS code for import clearance formalities is to be provided in the preliminary Packing list with Minimum 8 numerical symbols

4.2

PRELIMINARY Transport drawing

This drawing must contain minimum the following details:

 Three sides view of equipment/package (face + profile + top)+ footprint  Overall dimensions including nozzles and any protruding parts;  Overall Gross weights ( including saddle Wt / packing wt)  Transport Lifting point  Transport lashing points for securing goods on means of transport (truck,

railcar, vessel, barge )  Shipping Loads (Ton/SQM)  Position of the centre of gravity 

Indication of any agent of nitrogen to preserve the interior of the equipment from corrosion and relevant inflation pressure;

 Transport Drawing must be issued in English Language.

4.3

Packing List (Appendix A2)

Packing list shall be prepared as per CONTRACTOR’s requirements and shall show a description of the content of each package, according to the actual data (Actual gross and net weight, actual dimensions and actual contents). If required, Net Weight to be indicated per Tag/ident Number. Packing list must be issued in English Language. TAG/ITEM number or Ident Code will be indicated. Indication of sets, lots or the like are not allowed. SUPPLIER will receive a Packing List Number to identify the shipment. The number is given with Instruction for Packing by Transport Team, for each definite batch of goods to be shipped. If the scope of supply contains Handling/lifting equipment (ie. lifting beams, slings, etc.) it shall be listed in Packing list. One (1) copy of Lifting Certificate shall be provided by SUPPLIER to CONTRACTOR when applicable by CONTRACTOR’s IT tools.

In any case, hazardous/dangerous goods shall be identified on a separate batch of shipping invoice and packing.

Only after approval received from Transport Team, the required number of copies of final packing list shall be printed by the SUPPLIER and at least Two (2) copies of the packing list in waterproof plastic envelope, must be securely nailed under a steel sheet, on the outer surface of the packages of the batch.

4.4

Packing Note (Appendix B)

Packing Note, must reflect the same data of the relevant Packing list, with the aim to have more detailed information which correspond exactly to the detailed contents of each package. Packing Note must be issued in English Language. The expression “accessories for” or “batch of nuts and bolts” for example, are formally forbidden. At least Two (2) copies of the final packing note shall be placed in a waterproof plastic envelope inside of each package. Unless otherwise agreed, another copy, in a waterproof plastic envelope shall be placed outside of the package under a steel sheet.

4.5

Transport drawing (Appendix D)

This drawing must contain minimum the following details:

 Three sides view of equipment/package (face + profile + top)+ footprint  Overall dimensions including nozzles and any protruding parts;  Actual position of all nozzles and protruding parts;  Net and gross weights;  Sling marks for Transport lifting ropes, including the angle of rope (degree) or

height of crane hook;

 Slinging points to be used of equipment/package in all sides, for securing

goods on means of transport (truck, railcar, vessel, barge )

 Type & dimensions of lifting eyes with SWL  Shipping Loads  Position of the center of gravity on the three sides view; 

Indication of any agent of nitrogen to preserve the interior of the equipment from corrosion and relevant inflation pressure;

 Transport Drawing must be issued in English Language.

Note 2.

Due to the re-production deviations in scale of the drawing may occur. Only the measurements stated in the drawing are applicable.

4.6

Instructions and drawings for lifting, lashing and handling during transport

It could be either a separate document or it could be represented in the transport drawing. It must be issued in English Language. In case of FOB delivery terms, SUPPLIER is requested to provide CONTRACTOR with lifting drawings and inspection certificates of lifting means & gears.

Saddles drawings

It could be either a separate document or it could be represented in the transport drawing. Shipping Loads to be mentioned .It must be issued in English Language.

4.8

Drawings of special devices (spreader beam etc.) for lifting and handling

Drawing and technical description shall be provided. Aspects of handling operations using special devices (lifting beams, consoles and other specially designed items). It must be issued in English Language.

4.9

Safety Data Sheet (SDS)

SDS shall be at least:

in English; in language of country of origin, if required

   and in language of country of arrival.

(a) be in the complete format, showing 100% of chemical ingredient and composition.

(b) provide detailed description of materials, packing style, packing specification and actual quantity of such Hazardous and/or Dangerous goods.

(c) indicate special precautions or instructions for handling and preservation of the materials during shipping and storage period.

*** Note *** The SDS is required for every individual component or element of the equipment or materials. Consequently, descriptions such as “composition: trade secret, mixture” are not acceptable. The SDS is also required to include the Chemical Abstracts Service (“CAS”) Registry No. published by the American Chemical Society

4.10 Declaration Of Dangerous Goods

Required number of originals and copies of such declaration duly stamped and signed by SUPPLIER shall be transmitted to CONTRACTOR by Transport IT tool.

According to the instruction for packing at least two (2) originals will be given with the goods both to the trucker and to the freight forwarder.

At least one (1) copy will be fixed outside of the case included with SDS copy + shipping documents copies.

CONTRACTOR may require the certificate of ability of the signatory of such Declaration of Dangerous Goods.

Unavailability of the above mentioned “SUPPLIER Declaration of Dangerous Goods” as well as not informing the CONTRACTOR on any dangerous goods as a part of the scope of delivery shall be considered as a breach of contract. SUPPLIER will be held liable for all consequences and costs arising from imprecise notification on any hazardous cargo contained in the SUPPLY.

SUPPLIER shall provide all Dangerous documents as per International regulations for Transportation of Dangerous for Cargo and according to applicable laws in Country of departure, transiting countries and Country of Arrival.

Unavailability of the above mentioned “SUPPLIER Declaration of Dangerous Goods” as well as not informing the PURCHASER on any dangerous goods as a part of the scope of delivery shall be considered as a breach of contract. SUPPLIER will be held liable for all consequences and costs arising from imprecise notification on any hazardous cargo contained in the SUPPLY.

4.11

Export license and export declaration (Appendix C)

Within 4 weeks from the Effective Date of PURCHASE ORDER, VENDOR shall provide CONTRACTOR with the Attestation (refer to ATTACHMENT-C1) stating that, all MATERIALS procured under CONTRACTOR’s PURCHASE ORDER are not subject to any export license, approval, permits and/or any other regulation under the law and regulation in the exporting country of shipment to SITE in United Arab Emirates.

Where export licenses and/or other necessary approval, permits, authorization etc. are required by the authorities concerned in the exporting country of shipment or transporting through another country during shipment of the MATERIALS or if the MATERIALS are subject to any sanction regulations, CONTRACTOR shall be notified in writing on VENDOR letterhead within 4 weeks from the Effective Date of PURCHASE ORDER.

If the MATERIALS are supplied from a VENDOR located within the European Union and is subject to export license, approval, permits and/or any other regulation under the law and regulation in the exporting country of shipment or transporting through another country during shipment or if the MATERIALS are subject to any sanction regulations, upon CONTRACTOR’s request, VENDOR shall provide CONTRACTOR with the information necessary to issue export licenses such as, but not limited to dual use codes applicable to the goods, technical documentation, and description of the purpose of the goods. VENDOR shall provide the aforesaid information at least two (2) months prior to the contractual delivery date.

If the MATERIALS are supplied from a VENDOR located outside European Union and is subject to export license, approval, permits and/or any other regulation under the law and regulation in the exporting country of shipment or transporting through another country during shipment or if the MATERIALS are subject to any sanction regulations, VENDOR must obtain such licenses and other documentation within two (2) months before contractual delivery date at VENDOR’s cost and risk according to FOB or FAS or FCA terms, INCOTERMS® ICC, latest edition. Shipping will not be permitted if VENDOR fails to do so and VENDOR shall bear all costs and risks resulting from such failure, including re-purchasing, remedial works, penalties, and others.

Where CARGO includes goods, software or technologies originating or passing through U.S.A. and which are subject to the U.S.A. Export Administration Regulations, VENDOR shall obtain all required export licenses.

For the PURCHASE ORDER based on FOB or FAS or FCA terms, INCOTERMS® 2020 ICC, the U.S.A. VENDOR shall prepare the U.S. Shipper’s Export Declaration (SED) using VENDOR’s name as U.S. Principle Party in Interest (USPPI) and Exporter Identification Number (EIN).

VENDOR shall sign and submit the U.S. Shipper’s Export Declaration to CONTRACTOR and VENDOR’s freight forwarder along with all other required documents. VENDOR is responsible for reporting to U.S. Customs. VENDOR shall ensure that the U.S. Shipper’s Export Declaration is completed with the appropriate license information.

VENDOR shall issue copies of all licenses, U.S. Shipper’s Export Declaration and other relevant documentation to CONTRACTOR and, where required, CONTRACTOR’S freight forwarder at least within three (3) months before contractual delivery date, enclosing copies of all licenses.

Shipping will not be permitted if VENDOR fails to do so, and VENDOR shall bear all costs and risks resulting from the failure including re-purchasing, remedial works, penalties, and others.

4.12 Certificate of origin

When applicable, SUPPLIER shall provide CONTRACTOR with a certificate of origin in the name of CONTRACTOR stating the country of origin, for materials manufactured outside country of the consignee, duly legalized by SUPPLIER’s local Chamber of Commerce and stamped if required by the Consulate of the country of destination of the goods, or by an authorized foreign delegation or requested by CONTRACTOR.

For materials manufactured inside the country of the consignee, SUPPLIER may only have to provide CONTRACTOR with an attestation of origin with indication of manufacturing place/country by Transport IT Tool.

4.13

Shipping Invoice

When applicable, one (1) copy of SUPPLIER’s shipping invoice shall be addressed to CONTRACTOR by Transport IT Tool, evidencing the following minimum information:

 CONTRACTOR/SUPPLIER information including legal address and contact

details;

 Consignee information including legal address and contact details;  CONTRACTOR project number;  ORDER number and MR number;

 Number of delivered items (complete or partial or balance according to the

ORDER);

 HS code for clearance formalities, HS code/full code with 10 numerical symbols, (but not less than 8 numerical numbers with respect to each Product/Good);

 Quantities of sold goods and its value in currency used in the ORDER;  Goods commercial designation as per MR and item no.;  Weights / volume;  Unit and total value;  Total value of the invoiced material;  Place and delivery terms ;  For Shipper Own Container included in the Supplier’s scope, a standard container, except for a specially manufactured container, is a product with its proper customs HS code. A dedicated line with unit price and total sum shall be made, or a separate invoice shall be issued;

 The shipping invoice is to be issued on / CONTRACTOR template. It must be

issued in English Language.

4.14

Export Declaration

Export Declaration is required for all equipment/material to be exported out of the Country of manufacturing. SUPPLIER has to perform its obligations pursuant to the Incoterms edition specified in the ORDER.

Export Declaration, when applicable, must be issued in due time, for such reason CONTRACTOR will hold SUPPLIER liable for any customs penalties and detention of means of conveyance resulting from delay of issuance of Export Declaration.

In any case the SUPPLIER is responsible to fulfill any governmental regulations and making sure that all documentation required for exportation will be correctly issued in due time before shipment.

4.15

ISPM15 Certificate

SUPPLIER shall provide a ISPM 15 certificate in compliance with ISPM 15 regulations for wood packaging. The certificate shall confirm that the wood packaging is heat treated as per the standards described in this regulation.

VGM (VERIFIED GROSS MASS) CERTIFICATE

In case of use of Container and SUPPLIER being in charge of FOB delivery, SUPPLIER must provide CONTRACTOR with VGM Certificate

INSTRUCTION FOR PACKING

Once Inspection Release Note (IRN) of the equipment/material has been positively performed for the whole or portion of the SUPPLY in compliance with technical requirements set forth in the ORDER, Transport Team will issue instruction for packing for completion to the SUPPLIER together with all relevant instructions for transport document preparation. According to above instructions, SUPPLIER will perform as minimum:

 Pack all material;  Prepare all documents needed for the transport execution (Final Packing List,

Invoice, etc.), strictly in accordance with the given requirements; Input the necessary data in the IT Tool, as far as applicable;

  Proceed with the marking activities;  Communicate the Final Readiness Date;  Pick-up location and contact details;  Obtaining any kind of certificates required for customs clearance in the country of

destination.

Inspection on packing and marking can be either performed on paper or directly at packing location. CONTRACTOR has no limitations in performing packing inspection in SUPPLIER premises or Packer workshop and SUPPLIER shall make the goods available and accessible for packing inspection.

SHIPPING RELEASE NOTE

After checking that material is packed in accordance with our specifications and all transport documents are correct, Transport Team will issue official Shipping Release Note to SUPPLIER. In the meantime, Transport Team will confirm instructions to Freight Forwarder with a Release to Forwarder to proceed with the specific transport services providing:

 Pick up point information;  Notification of Readiness Date;  Final Shipping Documentation;  Destination and Customs process to be applied;  Method of transport.

The formal Shipping Release Note approval will determine the formal fulfilment of SUPPLIERs contractual duties relevant to the delivery.
